TERMS AND CONDITIONS

1. Definitions

1.1 Seller – MB “Per aspera ad astra,” company code 303156833, located at Labdarių g. 4-13, LT-01120, Vilnius. The Seller offers goods and services through the website www.labway.eu and is responsible for fulfilling orders placed by the Buyer.

1.2 Buyer – A legally competent natural person (i.e., an individual who has reached the age of majority and whose legal capacity has not been restricted by a court order) or a legal entity purchasing goods and services on www.labway.eu.

1.3 Parties – The Buyer and the Seller collectively.

1.4 Terms and Conditions – These “Terms and Conditions of Sale and Purchase” apply to each purchase made by the Buyer on www.labway.eu and govern the contractual relationship between the Parties.

1.5 Account – The result of the Buyer’s registration on www.labway.eu, creating a personal account where personal data and order history are stored. The account may be created using the Buyer’s mobile phone number or email address.

1.6 Website – Refers to www.labway.eu.

1.7 Contract – A legally binding sales contract between the Buyer and the Seller, considered concluded upon order confirmation, i.e., after payment has been made.

1.8 Shipment Code – A single-use shipment code generated by a third party, AB Lietuvos Paštas, which allows the Buyer to send one fixed-size shipment to the Seller. Each shipment is assigned a unique code.

2. General Provisions

2.1 Before placing an order, the Buyer must confirm acceptance of these Terms and Conditions by ticking the corresponding box. Upon confirmation, these Terms and Conditions constitute a legally binding agreement between the Parties, outlining their rights and obligations, purchase terms, payment, refund procedures, liability, and other conditions applicable to transactions on www.labway.eu.

2.2 The Buyer may not selectively accept or modify parts of these Terms and Conditions. Any deviations from these Terms require prior written consent from the Seller or an official amendment to the Terms and Conditions.

2.3 The Seller reserves the right to modify or supplement these Terms and Conditions at any time. Updated Terms and Conditions will be published on the Website, taking effect upon publication unless stated otherwise.

2.4 The Buyer must review and comply with the Seller’s Privacy Policy, which is published on www.labway.eu. The Buyer’s personal data will be processed in accordance with applicable legal regulations and the Privacy Policy.

2.5 If the Seller is required to provide information or documentation to the Buyer via email, the Buyer is responsible for ensuring that they provide a valid and functional email address.

3. Formation of the Sale and Purchase Agreement

3.1 When ordering services on www.labway.eu, the Buyer must provide accurate personal details necessary for order processing. These details are processed per the Privacy Policy.

3.2 Once the Buyer selects a service and completes all required steps, submitting the order establishes a legal sale and purchase relationship between the Buyer and Seller. Confirmation of payment will be displayed in the Buyer’s web browser.

3.3 Each order is stored in the Seller’s database in accordance with the Privacy Policy.

4. Buyer’s Rights and Obligations

4.1 The Buyer has the right to purchase goods and services on www.labway.eu in accordance with these Terms and Conditions.

4.2 The Buyer may cancel an order and terminate the Contract as specified in these Terms and Conditions.

4.3 When using the Website, the Buyer must comply with these Terms and Conditions, the Privacy Policy, and applicable laws of the Republic of Lithuania.

5. Seller’s Rights and Obligations

5.1 The Seller is obligated to fulfill the Buyer’s orders in accordance with these Terms and Conditions and the Privacy Policy.

5.2 The Seller must respect the Buyer’s privacy and process personal data as outlined in the Privacy Policy and applicable legal regulations of Lithuania and the European Union.

5.3 The Seller must adhere to all obligations outlined in these Terms and Conditions and applicable Lithuanian legislation.

6. Payment Arrangements

6.1 Product and service prices on www.labway.eu are listed in Euros (€) and include VAT and any applicable taxes.

6.2 Payment can be made via bank card or electronic banking.

6.3 Orders are confirmed only after the Seller receives full payment.

6.4 To receive an invoice, the Buyer must contact the Seller at info@labway.eu.

6.5 If the Buyer requests an invoice for a company or other entity, it will be issued and sent to the provided email address.

7. Delivery of Goods and Services

7.1 The Shipment Code purchased by the Buyer will be sent via text message to the mobile phone number provided immediately after payment confirmation.

7.2 Instructions for using the Shipment Code will be displayed in the Buyer’s web browser immediately after payment.

8. Order Cancellation and Refund Policy

8.1 Returns are subject to applicable Lithuanian laws and regulations.

8.2 If the Buyer starts an order but does not complete payment, the transaction is considered unsuccessful, and no contract is formed.

8.3 If a money-back guarantee is offered on the Website, the Buyer may request a refund within the specified period. In such cases, the full amount paid will be refunded, and the contract will be terminated.

8.4 Refunds are available within 14 days only if the Buyer proves that the purchased Shipment Code is invalid and could not be used for sending the parcel.

8.5 No refunds will be issued under any other circumstances unless mutually agreed upon by the Buyer and Seller.

9. Liability

9.1 The Buyer is responsible for any unauthorized actions performed on www.labway.eu.

9.2 If the Buyer violates these Terms and Conditions, their access to www.labway.eu may be permanently suspended.

9.3 The Buyer is responsible for keeping their login credentials (username, password) secure and must not share them with third parties.

9.4 The Seller is not liable for any losses resulting from the Buyer’s failure to read or comply with these Terms and Conditions and the Privacy Policy, despite being given the opportunity to do so.

10. Final Provisions

10.1 All communications related to purchases must be made using the contact details provided on www.labway.eu. The Seller is not responsible for any risks arising from communication through unofficial channels.

10.2 Any disputes arising from these Terms and Conditions will be resolved through negotiations. If no agreement is reached, disputes will be settled in accordance with Lithuanian law.
